Welcome to ZyroByte Corp. (“ZyroByte,” “we,” “our,” or “us”), a Canadian technology company headquartered in Toronto, Ontario, Canada. These Terms & Conditions (“Terms”) govern your access to and use of our websites (including zyrobyte.co and any subdomains), mobile and desktop applications, software products, platforms, services, eCommerce solutions, and any related offerings (collectively, the “Services”).

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (incorporated herein by reference), and any additional terms or policies specific to certain features or products (e.g., end-user license agreements for software). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

These Terms form a legally binding agreement between you (“you,” “your,” or “User”) and ZyroByte Corp., a corporation incorporated under the laws of the Province of Ontario, Canada. You must be at least 18 years of age or the age of majority in your jurisdiction to use the Services. If you do not agree with any part of these Terms, you must not access or use the Services.

We may update these Terms from time to time. Changes will be posted on our website with the updated effective date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms. For material changes, we will provide advance notice via email (if you have provided an email address) or through a prominent notification on the Services.

1. Description of Services

ZyroByte is a full-service digital technology company founded in 2025, specializing in software development, mobile and desktop applications, product design, cloud infrastructure, eCommerce solutions, and custom client services. We develop and publish proprietary products under our brand, including secure communication platforms, collaboration tools, and productivity software, available via official app stores (e.g., Apple App Store, Google Play Store, Microsoft Store) and direct downloads.

Our Services also include B2B offerings such as custom software engineering, UI/UX design, and eCommerce management for clients worldwide. We operate globally but maintain our principal place of business in Toronto, Ontario, Canada. Access to certain features may require registration, payment, or adherence to platform-specific terms (e.g., app store policies).

We reserve the right to modify, suspend, or discontinue any aspect of the Services at our sole discretion, with or without notice, for maintenance, security, legal compliance, or business reasons. We will not be liable for any unavailability or changes to the Services.

2. User Eligibility and Acceptance of Terms

To use the Services, you represent and warrant that: (a) you are at least 18 years old or the applicable age of majority in your jurisdiction; (b) you have the legal capacity to enter into these Terms; (c) you are not barred from using the Services under applicable law; and (d) your use of the Services will comply with all applicable laws, regulations, and these Terms.

If you are using the Services on behalf of an organization, you warrant that you have the necessary authority to bind that organization. Minors are prohibited from using the Services without parental supervision, and we do not knowingly collect data from minors—see our Privacy Policy for details.

3. User Accounts and Responsibilities

Certain Services require you to create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are solely responsible for maintaining the confidentiality of your account credentials (e.g., username, password) and for all activities that occur under your account.

You must: (a) notify us immediately of any unauthorized use or security breach at support@zyrobyte.co; (b) use secure practices, such as strong passwords and multi-factor authentication where available; and (c) log out after sessions on shared devices. We are not liable for losses due to compromised credentials.

We reserve the right to suspend or terminate your account at any time for violations of these Terms, suspected fraud, or legal requirements, without notice or liability. Upon termination, your access ends, and we may delete your data subject to our retention policies in the Privacy Policy.

4. Acceptable Use Policy

You agree to use the Services only for lawful, authorized purposes and in compliance with these Terms and all applicable laws, including intellectual property, privacy, and export control regulations. Prohibited uses include:

  • Violating copyrights, trademarks, or other intellectual property rights.
  • Uploading, transmitting, or distributing malware, viruses, or harmful code.
  • Engaging in harassment, defamation, hate speech, or discriminatory conduct.
  • Attempting to hack, disrupt, or interfere with the Services, other users, or third-party systems (e.g., denial-of-service attacks).
  • Using automated tools (e.g., bots, scrapers) without permission, except as allowed for personal use.
  • Commercial exploitation without our written consent, such as reselling access or data mining.
  • Collecting or processing personal data of others without consent, in violation of privacy laws.

We may monitor usage for compliance and reserve the right to remove content, suspend accounts, or report violations to authorities. You are responsible for your communications and uploaded content, which must not infringe third-party rights.

5. Intellectual Property Rights

The Services, including all software, code, designs, text, graphics, logos, domains, databases, APIs, and materials (collectively, “ZyroByte Content”), are owned by ZyroByte or its licensors and protected by Canadian and international intellectual property laws (e.g., Copyright Act of Canada, Berne Convention).

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Services for your personal or internal business purposes. This license does not include rights to: (a) copy, modify, or create derivative works; (b) reverse engineer, decompile, or disassemble; (c) distribute, sell, or rent; or (d) remove proprietary notices.

You retain ownership of your User Content (e.g., uploaded files, project inputs, feedback), but grant us a worldwide, perpetual, irrevocable, royalty-free license to use, host, store, reproduce, modify, create derivatives, and display it as necessary to provide the Services. For client projects, ownership transfers upon full payment and per the service agreement.

We respect third-party rights and respond to valid DMCA or similar notices. Report infringements to legal@zyrobyte.co.

6. Software, Applications, and Publishing

Our software and applications are licensed, not sold. Use is subject to these Terms and the terms of the distribution platform (e.g., Apple’s App Store Guidelines). We may provide updates, but you consent to automatic downloads where enabled.

For open-source components, see our notices. You may not: (a) circumvent technical protections; (b) export in violation of Canadian export laws; or (c) use in prohibited industries (e.g., nuclear weapons). Beta versions are provided “as is” without warranties.

We publish on official stores and may remove apps for policy violations. Feedback on software may be used to improve products without compensation.

7. Client Services and Custom Projects

For custom services (e.g., software development, design), terms are detailed in separate statements of work (SOWs) or master service agreements (MSAs), which supplement these Terms. Unless specified, deliverables remain our property until payment in full.

Projects follow agile methodologies with milestones. Changes require written approval and may incur fees. Confidentiality is governed by NDAs. We may showcase anonymized work in portfolios unless opted out.

Delays due to client feedback or external factors (e.g., third-party APIs) extend timelines without liability. Termination follows SOW provisions, with payment for completed work due.

8. eCommerce Operations

Our eCommerce Services facilitate sales of digital and physical products via platforms like Shopify or our sites. All purchases are final unless our refund policy states otherwise (e.g., 30-day satisfaction guarantee for digital goods).

You agree to provide accurate shipping/billing info. We process payments securely via third parties (e.g., Stripe) and are not liable for payment disputes. Prices exclude taxes, which you are responsible for. International shipments comply with customs laws.

Digital downloads grant personal use licenses only. Prohibited: Resale or commercial redistribution.

9. Payments and Subscriptions

Paid Services require payment via approved methods. Fees are non-refundable except as required by law. Subscriptions auto-renew monthly/annually unless canceled via your account.

We may adjust pricing with 30 days’ notice. Late payments accrue 1.5% monthly interest. You authorize recurring charges. Disputes must be raised within 60 days.

All transactions comply with PCI DSS standards. Refunds for custom services follow SOW terms.

10. User Data, Privacy, and Security

Your use of the Services is subject to our Privacy Policy, which details data collection, use, and protection. We implement reasonable security measures but disclaim liability for breaches due to your actions.

For end-to-end encrypted features, see Privacy Policy Section 6. You consent to data processing for service provision, analytics, and compliance.

11. International Compliance and Export Controls

As a Canadian company, we comply with federal/provincial laws (e.g., PIPEDA, Competition Act) and international standards (e.g., GDPR, CCPA). Services may be subject to U.S. export controls (EAR/ITAR) if accessed from restricted countries.

You warrant compliance with sanctions (e.g., OFAC, Global Affairs Canada) and local laws. We may restrict access based on IP geolocation.

12. Limitation of Liability and Disclaimers

The Services are provided “as is” and “as available” without warranties, express or implied, including merchantability, fitness for purpose, or non-infringement. We disclaim accuracy, reliability, or uninterrupted access.

To the maximum extent permitted by law, ZyroByte’s total liability shall not exceed fees paid by you in the prior 12 months. We are not liable for indirect, consequential, or punitive damages (e.g., lost profits, data loss).

This applies to all claims, including negligence, but excludes gross negligence or willful misconduct. Some jurisdictions limit these disclaimers—consult local law.

13. Indemnification

You agree to indemnify, defend, and hold harmless ZyroByte, its affiliates, officers, and employees from claims, losses, or damages arising from: (a) your violation of these Terms; (b) your User Content; (c) infringement of third-party rights; or (d) misuse of the Services.

We will provide notice of claims and reasonable cooperation, at your expense.

14. Termination

You may terminate your account anytime via settings. We may terminate or suspend access immediately for violations, without liability.

Upon termination: (a) licenses end; (b) you lose access; (c) we may delete data after 30 days. Accrued obligations (e.g., payments) survive.

15. Governing Law, Disputes, and Arbitration

These Terms are governed by Ontario law and federal Canadian laws, without conflicts principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any disputes shall be resolved exclusively in the courts of Toronto, Ontario. You waive jury trials and class actions. For EU users, alternative dispute resolution is available via the EU ODR platform.

16. Miscellaneous

  • Severability: Invalid provisions do not affect others.
  • Waiver: No delay waives rights.
  • Entire Agreement: These Terms supersede prior agreements.
  • Force Majeure: Excused for uncontrollable events (e.g., pandemics, cyberattacks).
  • Assignment: We may assign; you may not without consent.
  • Third-Party Beneficiaries: No rights for others except affiliates.
